1. Who you are contracting with

Vigil (the "Service") is provided by YG ("we", "us"). By creating an account or using the Service you are entering into an agreement with YG.

2. Acceptance

By accessing or continuing to use the Service you agree to these Terms. If you use the Service on behalf of an organization, you confirm you have authority to bind it. Individuals must be of legal age in their jurisdiction.

3. The Service

Vigil is an AI trust, risk and security management (TRiSM) platform. It lets you register AI agents, apply runtime guardrails (such as prompt-injection, data-leak and tool-use checks), monitor executions, and keep and export audit logs.

4. Accounts

You must provide accurate information, keep it up to date, and keep your credentials and API keys confidential. You are responsible for all activity under your account.

5. Acceptable use

You must not misuse the Service. In particular you must not:

• use it for any unlawful purpose or in breach of applicable law;
• use it for fraud, spam or deceptive activity;
• infringe anyone's intellectual property or privacy rights;
• interfere with its security or integrity, including uploading malware, probing or scanning for vulnerabilities, or scraping;
• reverse engineer, resell or redistribute the Service, or circumvent plan limits or technical controls;
• send content you have no right to process, or use the Service to develop malware, jailbreaks, deepfakes, hate speech or other harmful content.

6. Your content and AI outputs

You keep ownership of the prompts, traces and other data you send ("Your Content"). You grant us a limited licence to host and process Your Content solely to provide the Service. You are responsible for your inputs, for having the rights to them, and for how you use any results. Guardrail verdicts and scanner reports are automated and may be inaccurate or incomplete; they are not a substitute for professional security, legal or compliance advice. We may remove or restrict content, or suspend accounts, that breach these Terms. Rights-holders can report infringing content by emailing support@vigiltrism.ai; repeated infringement leads to termination.

7. Intellectual property

YG retains all rights in the Service, including its software, documentation and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan.

8. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, renewal, taxes, cancellation and refunds are governed by Paddle's Buyer Terms. Subscriptions renew automatically each month or year until cancelled. See our Refund Policy.

9. Service level

We work to keep the Service available and secure, but we do not guarantee it will be uninterrupted or error-free. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

10. Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. When access ends you may request an export of your data for 30 days, after which it is deleted in line with our Privacy Notice.

11. Liability

Our total liability is limited to the fees you paid in the 12 months before the claim. We are not liable for indirect or consequential losses such as lost profits, data or goodwill. Nothing limits liability for fraud, death or personal injury where the law does not allow it. You will indemnify us against claims arising from Your Content, unlawful use or breach of these Terms.

12. General

You may not assign these Terms without our consent; we may assign them as part of a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. These Terms are governed by the laws of the jurisdiction where YG is established, whose courts have exclusive jurisdiction. We may update these Terms and will post the new version here.
